Confidentiality Agreement Template

Purpose

This Confidentiality Agreement defines the obligations of all employees, contractors, and third parties to protect company confidential information during and after their engagement.

Confidential Information Includes

• Client lists, contact information, and business relationships
• Financial records, pricing, and business plans
• Source code, algorithms, and technical documentation
• Employee records and compensation information
• Vendor contracts and pricing terms
• Marketing strategies and product roadmaps

Obligations

• Protect confidential information with the same care as your own confidential information.
• Do not disclose confidential information to anyone outside the company without authorisation.
• Do not use confidential information for personal gain or for the benefit of any third party.
• Return all confidential information upon termination of engagement.

Duration

These obligations survive termination of employment or engagement for a period of 3 years, or as long as the information remains confidential, whichever is longer.
